6102 sayılı Türk Ticaret Kanunu (TTK) ile getirilen önemli yeniliklerden biri de, belli grupların yönetim kurulunda temsil edilmesine ilişkin düzenlemedir. Bu çalışmada öncelikle belirli grupların yönetim kurulunda temsil edilmesini düzenleyen kanun hükmü ve bu hükmün amacına değinilmiştir. Sonrasında ise hakkın hukuki nitelendirmesi yapılarak hakkın tanınabileceği gruplar sırasıyla açıklanmıştır. Hakkın düzenlenmesi şekil ve içerik açısından ele alınmış, hakkın düzenlenmesine ilişkin uyulması gereken kapsam ve sınırlar tespit edilmiştir. Son olarak da hakkın kullanılması ve sonuçları üzerinde durularak hakkın korunması için başvurulacak yollar belirtilmiş ve çalışmaya sonuç kısmı ile son verilmiştir.
One of the important changes of the Turkish Commercial Code (TCC) No. 6102 is the regulation of the representation of the certain groups in the board of directors. In this study, primarily the regulation of the representation of the certain groups in the board of directors and the purpose of this provision are mentioned. Afterwards, the legal qualification of the right is examined and the groups to which the right can be recognized are explained respectively. The regulation of the right has been dealt with in terms of form and content, and the scope and limits to be observed regarding the regulation of the right have been determined. Finally, with emphasis on the use of the right and its consequences, the ways to be taken to protect the right have been specified and the work has been terminated with conclusion.
