BOARDS AS A GOVERNANCE MECHANISM: THE INTELLECTUAL DYNAMICS THAT MAKE UP ITS REFLEXIVE FRAMEWORK

The main purpose of this study is to examine the intellectual foundations of the board of directors,

which has an important place in the management literature. In this context, starting from the basic

discourses of organizational theories, it is discussed through studies that the theories in question feed

the field of board of directors and at what points they shed light. At this point, it has been determined

that the dominant framework is the agency theory, and besides this theory, it has been determined that

the theory of stewardship, resource dependency theory, institutional theory, social network theory and

stakeholder theory frame the board of directors. Therefore, mentioning the way in which the

aforementioned organizational theories handle the board of directors and the effort to present a holistic

reflexive framework at this point reveal the importance of the relevant study.
